This Website may be terminated at any time by the User, provided that the User discontinues any further use of this Website. This Website will not be liable if Invika Solutions Private Limited terminates the Terms of Use at any time without notice and accordingly denies Users access to the Website.

If you or Invika Solutions Private Limited terminate these Terms of Use, User must destroy all materials downloaded from this Website, whether made under the Terms of Use or not. Your obligations under the Terms of Use will not be affected if the Terms of Use are terminated, including your obligation to pay for products already ordered from the Website.

Indemnity

You agree to defend, indemnify, and hold harmless Invika Solutions Private Limited, its officers, employees, agents, and each of their successors and assigns, as well as any of its subsidiaries, affiliates, partners, or licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses, including attorney's fees, resulting from or arising out of claims based on your actions or inactions that may cause loss or liability to Invika Solutions Private Limited or After the Conditions of Use expire or are terminated, this clause will remain in effect.

Registration Data

User shall not (a) pick or use the name, User ID, mobile number, and/or mail id of another person to impersonate that person; or (b) use as a User id a name that is subject to any rights of a person other than User without that person's prior explicit consent. The Company maintains the right to refuse registration or terminate Id at its discretion.

User hereby confers the Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the copyright, publicity, and database rights (but no other rights) User has in his/her Information, in any media now or hereafter known, solely to enable the Company to use the information User has provided. The Organization will only use User Data in compliance with the Agreement.

The User agrees and understands that the Company has no responsibility in any way for:

Product delivered to an incorrect address provided by the User.

Incorrect, incomplete, and/or false Information furnished by User; or

False, inaccurate, incomplete, and/or misleading information users provide may also result in legal action.

Guest Users: Unregistered Users may also access the Website's Services (also known as 'Guest Users'). Users cannot checkout and receive the product without registering on the Website.

Payment Terms 

In order to ensure faster processing of your order, credit card, debit card, and net banking payment options are recommended.

In order to make payment against any transaction being effected at the Website, the User shall be able to use his/her valid credit/debit card and/or online banking facility. Any payment shall be made using the User's own credit/debit cards, online banking accounts. User agrees to provide correct, complete, and accurate Information regarding credit / debit cards, online banking accounts and shall be solely responsible for any cost, expense, loss and/or damage which may suffer to User due to furnishing of wrong detail/ information relating to his/her credit / debit and/ or any other payment cards or online banking accounts.

The User understands and agrees that the processing fee or any other fee for converting a purchase transaction into an EMI will be charged and collected by the respective card issuing bank, and not by the Company. The Customer's card will be blocked with the full amount of the product on all EMI transactions, and the Customer will be charged only the EMI amount.

This User expressly agrees and declares that the Company will not be liable for any loss, including indirect, consequential, special or incidental losses, arising directly or indirectly from a decline of authorization for a transaction caused by the User exceeding the limits set by his or her credit / debit / or other payment cards and/ or online banking accounts.

The Company confirms that the detail provided by User in this regard shall be kept confidential and shall not be disclosed to any third party except to the extent required under the rules of any stock exchange and/or by applicable laws, regulations and/or processes of any government authority and/or in connection with any judicial process in connection with any legal action, suit and/or proceeding arising out of and/or related to this Agreement.

The Company may also actively report and prosecute fraud involving debit, credit, and cash cards. If fraud is suspected, the Company may cancel, delay, refuse delivery, or recall the order from the carrier. Users may be required to provide further authorization by calling the Company and/or providing other details. It is at the Company's sole discretion to require further authorization.

A variety of Information is captured during the order process, including time, date, IP address, and other Information that can be used to locate and identify fraudsters. Any order suspected of fraud will be submitted with or without a subpoena to all law enforcement agencies and to the credit/debit/cash card companies for fraud investigation. To the full extent of the law, the Company will cooperate with authorities in prosecuting offenders.

The Company will take all reasonable precautions to ensure the privacy and security of the Information provided by the User. A User acknowledges, however, that the Company will not be held responsible for any third party action that exposes and/or misuses the Information provided by the User as a result of such third party gaining access to such Information without having been authorized by the Company.

Representations and Warranties

User represents and warrants that the information User provides on the Website is his or her own and/or authorised for sharing. The User confirms that the Information is accurate, complete, complete, not misleading, does not violate any statutory enactment, notification, order, circular, policy, rules, or regulations, and does not harm anyone or anything.

1. All claims resulting from details/information Users post and/or supply to the Company will be indemnified and kept indemnified by the User and/or its shareholders, directors, employees, officers, affiliates, partners, associate/subsidiary companies/entities, advisors, accountants, agents, consultants, contractors, partners and/or suppliers. It shall be the Company's right to remove any such detail or Information posted by the User without prior notice.

2. A User understands that the Company has no control over the accuracy of any information / detail submitted on the Website. Therefore, the Company is not liable for any loss, damage, cost, or expense resulting from inaccuracy of any detail or Information submitted by the User or anyone else.

3. The User agrees and undertakes that she/he shall be solely responsible for his/her Information and confirms that it contains the following:

Fraudulent activity does not exist.

Avoids stalking or harassing other users;

Does not and shall not violate any third party's intellectual property rights, trade secrets and/or other proprietary rights, as well as rights of publicity and/or privacy.

The content must not be indecent, obscene, contain pornography, be in violation of any law, rule or regulation, or contain anything that is prohibited.

There is no political campaigning, unsolicited or unauthorized advertising, promotional or commercial solicitation, chain letters, pyramid schemes, mass mailings, or any form of 'spam'.

Other than that, it is not illegal.

As a result, the User agrees and understands that the Company reserves the right to remove and/or edit such detail / information.

All notices and all terms and conditions (updated from time to time) contained herein are binding on the User.

4. The User undertakes and confirms that the Company's Website, services, and materials may not be used for any purpose that violates the terms of the Agreement, is prohibited by law, rulings, notifications, or orders of a court or statutory authority, or otherwise violates any applicable law. Users are prohibited from using the Website, services, or materials in any way that could damage, disable, overburden, or impair the Website and/or any services therein and/or the network(s) connected to the Website and interfere with other Users' access to and enjoyment of the Website.

In case of mispricing

Softtronics strives to provide accurate product and pricing information; however, pricing or typographical errors may occur. (WEBSITE NAME ) cannot confirm a product's price until after a user orders it. Softtronics shall have the right, at our sole discretion, to refuse or cancel any orders placed for a product in the event that it is listed at an incorrect price or with incorrect Information as a result of an error in pricing or product information.

A mispriced item may, at Softtronics's discretion, either be contacted for instructions or canceled and notified to you. Your offer will not be accepted unless the product you ordered has been dispatched, and Softtronics may modify the price of the product and contact you for further instructions via the email address you provided at the time of registration, or cancel the order and inform you of such cancellation.

Many of the hundreds of items in our catalog are mispriced despite our best efforts. As part of our dispatch procedures, we verify prices. We will notify you if a product's correct price is higher than our stated price. We charge you lower if the item's real price is less than our stated price.

Quantity Restriction

Softtronics reserves the right to limit the number of items purchased per person, per household, or per order. These restrictions may apply if you use the same account, credit / debit card, billing and/or shipping address. Limits of this kind will be communicated to customers. Any individual may be excluded from sales at the sole discretion of Softtronics.

Indemnification and Limitation of Liability

You agree to indemnify, defend, and hold harmless Softtronics, its affiliates, officers, directors, employees, consultants, licensors, agents, and representatives from and against any and all claims, losses, liabilities, damages, and/or costs (including reasonable attorney fees and costs) arising from your access to or use of Softtronics Platform or the Services, violation of these Terms of Service, or infringement of any intellectual property or other right of any person or entity. Applicable Law and Jurisdiction

Indian law governs and interprets these Terms of Use, regardless of any choice or conflict of law provisions. If a dispute arises in connection with these Terms of Use or the Softtronics, whether the dispute is based on contract or tort, or otherwise, you agree to submit such disputes to the jurisdiction of the courts in India.

Force Majeure

The Company shall not be liable for any failure and/or delay on its part in performing any of its obligations under this Agreement and/or for any loss, damage, costs, charges and expenses incurred and/or suffered by the User as a consequence, if such failure or delay is caused by or resulting from Force Majeure Events.

"Force Majeure Event" refers to any event beyond the Company's reasonable control, including, but not limited to, unavailability of any communication system, sabotage, fire, flood, earthquake,explosion, acts of God, civil commotion, strikes, lockout, and/or industrial action of any kind, breakdown of transportation facilities, riots, insurrection, hostilities whether war be declared or not, acts of government, governmental orders or restrictions.

General

You understand and agree that these Terms and Conditions comprise the entire agreement between us with respect to your use of the Website, and that they supersede and govern any prior proposals, agreements, or other communications.

We may amend these Terms and Conditions at any time by posting them on the Website. Changes on the Website take effect instantly.
